1. Introduction & Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the TraderSign website, web application, APIs, integrations, and related services (collectively, the "Platform") provided by TraderSign Sdn. Bhd. (202501012050) ("TraderSign", "we", "us", or "our").

By accessing or using the Platform, creating an account, starting a trial, subscribing to a paid plan, or continuing to use the Platform after changes to these Terms, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you must not access or use the Platform.

These Terms incorporate our Privacy Policy, Billing & Payment Policy, and any additional terms presented to you during signup, checkout, or use of specific features.

2. Definitions

• Platform – the TraderSign website, web application, APIs, integrations, software, content, and related services.
• User, you, or your – any individual or entity that accesses or uses the Platform.
• Subscription – a paid plan that provides access to certain features of the Platform on a recurring basis.
• Trial – a temporary free or promotional period during which you may access certain Platform features subject to these Terms.
• User Content – any information, data, text, images, files, trading records, notes, screenshots, imports, or other materials uploaded, submitted, synced, generated, or stored by you through the Platform.

3. Eligibility & Account Registration

To use the Platform, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Platform on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

• You agree to provide accurate, complete, and current account information.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You must promptly update your account, contact, and billing information so that it remains accurate and complete.
• You must notify us promptly if you suspect unauthorized access to your account or any connected integration.
• We may suspend or terminate your account if we reasonably believe that information you provide is false, misleading, incomplete, or used in breach of these Terms.

4. Scope of Services

TraderSign provides a trading journal, analytics, reporting, replay, note-taking, import, and productivity platform for traders. Features may include trade journaling, performance analytics, reports, charting integrations, broker or platform sync, file imports, backtesting tools, and related functionality.

TraderSign does not:

• provide financial, investment, trading, tax, accounting, legal, or brokerage advice;
• recommend whether you should buy, sell, hold, or trade any instrument;
• execute, route, clear, settle, custody, or hold trades, funds, assets, or securities on your behalf;
• act as a broker, dealer, exchange, custodian, investment adviser, financial institution, or regulated financial intermediary; or
• guarantee trading results, profitability, accuracy of market data, or investment performance.

The Platform is provided for journaling, analytics, reporting, and record-keeping purposes only. You are solely responsible for your own trading decisions, risk management, tax reporting, compliance obligations, and use of any information displayed by the Platform.

5. Trading Risk Disclosure

Trading financial instruments, including forex, CFDs, stocks, indices, futures, options, and cryptocurrencies, involves significant risk and may not be suitable for everyone. You may lose some or all of your capital. Past performance, simulated performance, backtest results, or journal analytics are not reliable indicators of future results.

6. Accuracy of Data, Calculations & Reports

The Platform may import, process, transform, estimate, classify, or display trading data from third-party sources, including brokers, trading platforms, exchanges, data providers, and files uploaded by you.

We do not guarantee that imported data, calculations, reports, charts, statistics, P&L, fees, timestamps, currency conversions, replay data, backtest results, or analytics will always be complete, accurate, current, uninterrupted, or error-free.

You are responsible for reviewing and verifying all trading records and reports before relying on them for trading, accounting, tax, compliance, or other purposes.

7. Third-Party Services & Integrations

The Platform may depend on or connect with third-party services, including brokers, trading platforms, data providers, cloud infrastructure providers, payment processors, email providers, analytics tools, and customer support tools.

Your use of third-party services is subject to their own terms, policies, fees, limits, and availability. We are not responsible for third-party service outages, API changes, account restrictions, data inaccuracies, delays, rate limits, security incidents, or any losses arising from third-party services.

You are responsible for ensuring that your use of TraderSign with any broker, trading platform, or third-party service complies with that third party's terms and applicable laws.

8. User Conduct

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• upload, post, transmit, or store unlawful, harmful, defamatory, harassing, infringing, misleading, or otherwise objectionable content;
• attempt to gain unauthorized access to the Platform, other accounts, systems, networks, or connected services;
• share, sell, transfer, or allow unauthorized use of your account unless expressly permitted by TraderSign;
• upload or transmit malware, viruses, malicious code, or content designed to interfere with the Platform;
• scrape, crawl, harvest, reverse engineer, or extract data from the Platform except as permitted by law or written permission from us;
• use the Platform in a way that could disable, overburden, damage, impair, or interfere with the Platform or another user's use;
• misrepresent Platform reports, analytics, or screenshots as audited, guaranteed, or independently verified by TraderSign;
• use the Platform to violate any broker, trading platform, data provider, payment processor, or third-party terms; or
• use the Platform for fraud, money laundering, market manipulation, unauthorized trading, or other unlawful activity.

We may investigate, remove content, restrict features, suspend accounts, or terminate access if we reasonably believe these Terms have been violated or that your use creates risk to TraderSign, other users, or third parties.

9. Subscriptions, Billing & Refunds

Access to certain Platform features is provided on a subscription basis. Subscriptions are billed in advance and renew automatically unless cancelled before the renewal date.

• We process payments through third-party payment processors such as Stripe. By providing payment details, you authorize us and our payment processors to charge applicable fees to your payment method.
• Subscription fees are billed on the recurring interval shown during signup, checkout, plan selection, or account management.
• Unless required by law or expressly stated by TraderSign in writing, fees are non-refundable once charged, including for unused time, downgrades, account inactivity, or failure to cancel before renewal.
• Pricing, plan features, trial offers, and billing terms may change from time to time. Material changes will be communicated where required or commercially reasonable.

10. Free Trial

TraderSign may offer a free trial or promotional access to certain subscription plans. Unless stated otherwise during signup, a valid payment method may be required to start a trial.

• At the end of the trial period, your selected subscription may automatically convert to a paid subscription unless you cancel before the trial ends.
• Each user, account, organization, or payment method may be limited to one trial unless we state otherwise.
• We may modify, suspend, or discontinue trial offers at any time, subject to applicable law.

11. Data Protection & Privacy

We process personal data in accordance with the Malaysian Personal Data Protection Act 2010, as amended from time to time, and our Privacy Policy.

• By using the Platform, you acknowledge that we may collect, use, disclose, store, and process personal data as described in our Privacy Policy.
• We may store and process data in Malaysia or other jurisdictions where we or our service providers operate, subject to appropriate safeguards where required by law.
• You may request access to or correction of your personal data by contacting us at support@tradersign.com.

12. Intellectual Property

The Platform and its software, design, text, graphics, logos, features, workflows, documentation, and content are owned by TraderSign or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal or internal business use. You may not:

• copy, modify, distribute, sell, lease, sublicense, or exploit any part of the Platform;
• reverse engineer or attempt to extract source code except where prohibited from restriction by law;
• remove or alter proprietary notices, trademarks, or labels; or
• use TraderSign's name, logo, or branding without our written permission.

13. User Content & Licence

You retain ownership of User Content you upload, submit, import, sync, or store through the Platform. You are responsible for ensuring that you have the rights and permissions necessary to use that User Content with the Platform.

By using the Platform, you grant TraderSign a worldwide, non-exclusive, royalty-free licence to host, store, back up, process, reproduce, transmit, display, and use User Content as reasonably necessary to operate, maintain, secure, support, and improve the Platform and provide requested features.

We do not claim ownership of your trading journal data. However, we may use aggregated or anonymized data that does not identify you to improve the Platform, develop features, monitor performance, or understand usage trends.

14. Availability, Changes & Beta Features

We aim to provide a reliable Platform, but we do not guarantee uninterrupted, secure, or error-free availability. The Platform may be unavailable due to maintenance, outages, infrastructure issues, third-party failures, security incidents, or events beyond our control.

We may add, modify, suspend, limit, or discontinue features from time to time. Some features may be marked as beta, early access, experimental, or preview. Such features may be incomplete, unstable, inaccurate, or changed without notice.

We are not liable for losses resulting from downtime, feature changes, discontinued features, data provider outages, broker API limitations, or third-party service disruptions, to the maximum extent permitted by law.

15. Termination & Suspension

You may stop using the Platform at any time. You may cancel your subscription or request account closure through account settings where available or by contacting us at support@tradersign.com.

We may suspend, restrict, or terminate your account or access to the Platform if we reasonably believe that you have breached these Terms, failed to pay applicable fees, created legal or security risk, misused the Platform, violated third-party rights, or used the Platform in a way that may harm TraderSign, other users, or third parties.

Upon termination, your right to access and use the Platform will cease. Certain provisions of these Terms will survive termination, including provisions relating to payment obligations, intellectual property, user content licences, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.

16. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless TraderSign, its directors, officers, employees, contractors, agents, affiliates, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use or misuse of the Platform;
• your trading activity, trading losses, tax reporting, or reliance on Platform analytics;
• your breach of these Terms or applicable laws;
• User Content you upload, submit, import, sync, or store through the Platform;
• your violation of third-party rights or third-party service terms; or
• unauthorized activity under your account caused by your failure to protect credentials or connected accounts.

17. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, TraderSign disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

We do not warrant that the Platform will be uninterrupted, secure, error-free, accurate, free of harmful components, or that defects will be corrected. Your use of the Platform is at your own risk.

18. Limitation of Liability

To the maximum extent permitted by law, TraderSign, its directors, officers, employees, contractors, agents, affiliates, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, trading losses, investment losses, loss of revenue, loss of data, loss of goodwill, business interruption, tax penalties, or financial loss arising from or related to your use of or inability to use the Platform.

To the maximum extent permitted by law, TraderSign's total liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you paid to TraderSign in the three (3) months before the event giving rise to the claim, or RM100, whichever is higher.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

19. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice where required or appropriate, such as by email, in-app notice, or posting an updated version on the Platform.

By continuing to access or use the Platform after changes become effective, you agree to be bound by the revised Terms. If you do not agree, you must stop using the Platform and cancel any subscription before the changes take effect.

20. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Malaysia, unless applicable law requires otherwise.

21. Entire Agreement & Contact

These Terms, together with the Privacy Policy, Billing & Payment Policy, and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and TraderSign regarding your use of the Platform and supersede all prior agreements and understandings relating to the Platform.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision does not waive our right to enforce it later.
